Piedmont Triad Transportation Association

Piedmont Triad Transportation Association is a provider of educational services to professionals in the field of transportation. Membership is open to consumers and providers of transportation services.

We hold two dinner meetings each year at the headquarters of Volvo Trucks, North America and visitors are always welcome. The following have been keynote speakers at our dinner meetings.

We also hold semiannual golf tournaments and we provide a social hour prior to each dinner meeting.

CONSTITUTION & BY LAWS

ARTICLE I - NAME

The name of this organization shall be Piedmont Triad Transportation Association.

ARTICLE II – MISSION STATEMENT

The Mission Statement of the organization shall be: Piedmont Triad Transportation Association will be an open organization of industry professionals dedicated to the advancement of transportation knowledge, education, ideas, experiences, camaraderie and charity. Members and guests will benefit through appropriate exchanges of ideas and benchmarking at regular and special meetings and social events.

Piedmont Triad Transportation Association shall be a not-for-profit charitable organization.

ARTICLE III - MEMBERSHIP

Section 1. Those eligible for membership shall be of recognized character and integrity, directly engaged in the field of traffic, transportation or logistics, presently or in the past, or who is a student in an accredited school, college or university; or an applicant may be admitted to membership through practical experience in an analogous field when deemed qualified by the Board of Directors, hereinafter referred to as the Board

Section 2. Application for membership shall be submitted in writing on a form designated for that purpose and accompanied by dues for one year. Each application submitted shall be duly considered by the Board, which shall have final action on the application.

Section 3. Election to membership shall be by majority vote of the board.

Section 4. A change of occupation after election to membership shall not deprive any member of full membership privileges.

Section 5. Persons who have distinguished themselves in traffic, transportation or logistics, who have retired from full-time work and have reached their sixty-fifth birthday may be proposed as honorary lifetime members by any Officer or Board member and elected by a two-thirds vote of the Officers and Board present. Honorary lifetime members shall not be eligible for elective office. However, an honorary lifetime member may serve on or chair a committee. Honorary lifetime membership carries full responsibility except for annual dues. Any honorary lifetime member is eligible to join as a dues-paying member should he/she chose to do so.

Section 6. Any member, for cause, may be suspended or dropped from the membership by a majority vote of the Board at any meeting. ARTICLE IV - DUES

Section 1. Members shall pay annual dues as established by the Board.

Section 2. Full-time students are eligible for reduced annual dues, the amount established by the Board.

Section 3. Retired persons are eligible for reduced annual dues, the amount established by the Board.

Section 4. Multiple persons in a single company are eligible for reduced annual dues, the amount established by the Board.

Section 5. There is only one membership status in the organization. It is: Member In Good Standing. Persons who have not met their dues responsibility to the organization are not members in any sense of the word.

ARTICLE V - DISSOLUTION

Should Piedmont Triad Transportation Association dissolve (cease to exist), all assets shall be disbursed equally between Guilford Technical Community College and Forsyth Technical Community College.

ARTICLE VI - AMENDMENTS or SUSPENSION

This constitution may not be amended or suspended, wholly, or in part, to accomplish a short-term goal. Permanent amendments require a two-thirds majority vote of board members present at any announced meeting and notice of proposed amendment or amendments must be given in writing no less than fifteen days prior to the vote.

BY-LAWS

ARTICLE I - BOARD of DIRECTORS and OFFICERS

Section 1. The Board of Directors, hereinafter referred to as the Board, shall consist of the Officers of the association and not less than (6) six but not more than (9) nine Board Members, the number to be determined by majority vote of the Board in the preceding year.

Section 2. Officers shall consist of President, Vice President, Immediate Past President, Secretary, Treasurer and Webmaster/Newsletter Editor.

Section 3. The office of Immediate Past President shall not be elected but shall be filled by the retiring president for the previous fiscal year. When a retiring President cannot fill this office, it shall stand vacant.

Section 4. No President or Vice President may be elected to the same office for three consecutive years.

Section 5. The Board shall make appointments to fill unexpired terms except in the office of Past President. Section 6. Should a single person hold more than one position on the Board, he/she shall not be allowed more than one vote.

Section 7. At any Board meeting, five (5) members shall constitute a quorum.

ARTICLE II -ELECTIONS

Section 1. At the first board meeting of each fiscal year, the President shall appoint a three-person Nominating Committee.

Section 2. The Secretary shall provide the Chairman of the Nominating Committee with a complete list of all members in good standing who are eligible to hold office. The Nominating Committee shall select a slate of officers who are eligible and willing to hold office.

Section 3. The Nominating Committee shall present the Board with the slate of nominees for review, refinement and approval by majority vote. This slate of officers shall be presented to the entire membership in writing no less than ten days before the last meeting of the fiscal year. Unchallenged, the slate shall become final.

Section 4. In the event there is/are a nomination(s) from the floor for any position, there shall be an election for that/those position(s). Nominations from the floor will only be accepted if the individual(s) nominated is/are present and willing to hold the office.

ARTICLE III - DUTIES OF THE OFFICERS and BOARD OF DIRECTORS

Section 1. President It shall be the duty of this Officer to preside at all regular and special meetings, appoint all standing and special committees, receive all matters presented for consideration by the Association and make assignments.

Section 2. Vice President It shall be the duty of this Officer to preside in the absence of the President and to act in the capacity of any other Officer absent from a meeting. This office shall have additional responsibilities as agreed upon by the President and the Office Holder.

Section 4. Immediate Past President It shall be the duty of this Officer to advise the President on Association matters, when and if called upon to do so, to act as Parliamentarian and to recommend changes, as appropriate, to the Constitution and By-Laws. This office shall have additional responsibilities as agreed upon by the President and the Office Holder.

Section 5. Secretary It shall be the duty of this Officer to keep minutes of all regular and special Board meetings and to notify members of their election to offices or appointment to committees. This office shall have additional responsibilities as agreed upon by the President and the Office Holder.

Section 6. Treasurer It shall be the duty of this Officer to receive monies for annual dues and other funds; to place these monies in an authorized checking account; to maintain complete and accurate records that shall be turned over not less than once per year for auditing by the Audit Committee; to issue checks for authorized expenditures and to furnish detailed unaudited financial statements at each Board meeting; and to discharge such other actions of the Association as directed by the Board. This office shall have additional responsibilities as agreed upon by the President and the Office Holder.

Section 7. Webmaster/Newsletter Editor It shall be the duty of this Officer to manage mass communications for the association. This office shall have additional responsibilities as agreed upon by the President and the Office Holder.

ARTICLE IV – COMMITTEES

It shall be the responsibility of the President to appoint Committees and Committee Chairpersons. In addition to the Auditing and Nominating Committees, the President may create Committees as he/she sees fit but shall consider these: Speakers, Membership, Golf, Scholarship and Job Placement.

ARTICLE V - MEETINGS

Section 1. The primary and overriding purpose of the Association is transportation education. Therefore, not less than two (2) general membership meetings per year will be of an educational nature.

Section 2. General membership meetings shall be held on dates and times to be prescribed by the President after conferring with the speaker and shall not follow a business meeting format – minutes of the last meeting shall not be read, etc.

Section 3. Business meetings shall be held on dates and times to be prescribed by the President after conferring with Board.

Section 4. When disparate points of view arise, business meetings shall follow Roberts Rules of Order.
